Songa Offshore ASA (OSL:SONG) Prospectus In Connection With The Listing Of New Shares On Oslo Børs

Songa Offshore ASA (OSL:SONG) Reference is made to the press-releases dated 16 October 2008 and 20 October 2008 regarding the completed Private Placement in Songa Offshore ASA ("Songa Offshore" or the "Company"). Songa Offshore has prepared a prospectus dated 8 December 2008 (the "Prospectus") in connection with the listing of 10,600,000 new shares on the Oslo Børs stock exchange, each with a nominal value of NOK 1.00, placed in a Private Placement conducted in October 2008 at a subscription price of NOK 25.00 per share, raising total gross proceeds of NOK 265 million.

The 10,600,000 shares issued in the Private Placement has since its issuance been registered on a separate ISIN. From and including tomorrow, 9 December 2008, these shares will automatically be transformed to the Company's original ISIN code being ISIN 001 0268451 and will be fully tradable on the Oslo Børs stock exchange.

The Prospectus will be available at the Company's and the Manager's web-sites at the addresses: www.songaoffshore.no and www.pareto.no.
